1. Immigration Project Information:

 

1-1.The scale of the investment project: Total planned investment in the project is US $200 million. Total building area is 750,000 SQ FT, including matching buildings approximately covering an area of 300,000 SQ FT, hotel, condominiums, retail stores approximately covering an area of 450,000 SQ FT.

 

1-2.The Basic Function of Each Floor:

 

A. The 1st floor: hotel lobby, condominium lobby, restaurants, retail stores, bars, coffee shops, etc.

 

B. Two-story basement: approximately 113 parking spaces available for hotel and commercial use.

 

C. 2-7th floor: approximately 310 parking spaces available for residents in condominium.

 

D. 8th floor: hotel restaurants and common facilities (Open Chinese and Western restaurants).

 

E. 9th-16th floor: 200 hotel rooms (Partial rooms take kitchens)

 

F. 17th floor: office, relevant equipment and utilities.

 

G. 18th-40th floor: 207 condos with residential function.

2. Investment Structure of Hawaii Ocean Plaza Project

 

2-1.Project Name: Hawaii Ocean Plaza

 

2-2. Project Developer: California Investment Regional Center, LLC

 

2-3.USCIS Approved Regional Center: Advantage America Hawaii Regional Center (Partner)

 

2-4.Project Company: Hawaii Ocean Plaza LP

 

2-5.The Project Company Ownership Structure: Developer is a general partner of the Project Company, and EB-5 investors will be the limited partners of the company Hawaii Ocean Plaza LP.

 

3.Investment Method:

 

3-1. Equity investment method: According to The EB-5 Immigration Law Equity Investment, each investor shall invest a minimum of USD $1,000,000.00. After the investment capital is remitted to the Project Company account, the investor will own 1,000,000 shares which valued USD $1 per share. For the total issue of 80 million shares, each EB-5 investor will own 0.4% of the Hawaii Ocean Plaza project company shares.

 

4. Investment Capital and Related Fees:

 

4-1. The investment capital is USD $1,000,000.

 

4-2.Equity subscription fee is USD $50,000.

 

4-3.The management fee for account supervision is USD $125.

 

4-4. Attorney’s fee is USD $15,000.

 

4-5. Form I-526 USCIS Application Fee is USD $3,675.

Total (The Investment Capital and Related Fees): USD $1,068,800.00.

 

5.Payment Time:

 

5-1. Upon signing this agreement, Party B should pay the related fees of USD $68,800 to Party A, or may pay the fee in installments, and the specific payment amount and payment time shall be based on the revised agreement.

 

5-2. Within 7-30 days after signing this agreement, Party B should wire the investment fund of USD $1000,000 to the escrow account of American Investment Immigration Fund under the guidance of Party A.

 

5-3. If immigrant investors need time to prepare the funds, Party B can wire the investment fund of USD $1,000,000 within 30-60 days after signing the agreements.
